Termes et conditions

Metaltech-Omega inc. (ci-après « Metaltech ») est à l’écoute des besoins de ses clients et permet à ceux-ci de donner des idées d’innovation, soit d’amélioration ou de conception d’un produit, en remplissant un formulaire en ligne (ci-après l’« Application »).

En soumettant son Application, le client accepte les termes et conditions suivantes :

Utilisation des renseignements confidentiels
1. Le client comprend et accepte que son nom et ses coordonnées (ci-après les « Renseignements confidentiels ») seront collectés au moment du dépôt de son Application.
2. Metaltech peut utiliser et transmettre les Renseignements confidentiels et tout autre information transmise dans l’Application :
  1. à ses sociétés affiliées;
  2. pour communiquer avec le client;
  3. pour contacter le client par courriel à des fins promotionnelles;
  4. pour contacter le client à toute autre fin commerciale.
3. Metaltech ne divulguera pas autrement les coordonnées du client qui figurent dans l’Application.
Propriété intellectuelle
1. Le client convient et accepte que l’expression « Propriété intellectuelle » désigne tout droit reconnu ou accordé, ou qui pourra l’être dans le futur en vertu des lois relatives à la propriété intellectuelle, toute autre loi similaire ou tout principe de droit civil ou de common law en vigueur actuellement ou dans le futur à travers le monde, y compris, mais sans limiter la généralité de ce qui précède : les marques de commerce, les inventions, brevetées ou non, les secrets de commerce et le savoir-faire, dessins industriels, découvertes, inventions, améliorations, savoir-faire, formules, procédés, plans ou toute œuvre bénéficiant de l’application des lois décrites au présent paragraphe.
2. Le client reconnait, accepte et déclare que toute la Propriété intellectuelle transmise dans le cadre de son Application demeurera la propriété absolue et exclusive de Metaltech.
3. Le client cède de façon irrévocable à Metaltech et s’engage, pendant et après la durée des présentes, à céder à Metaltech, sans contrepartie additionnelle, toute la Propriété intellectuelle et toute information relative à ces droits, titres et intérêts, ainsi qu’à signer tout document et à poser tout geste nécessaire pour donner effet à la présente clause, et pour défendre et protéger les droits, titres et intérêts de Metaltech à cet égard.
4. Le client renonce et s’engage à renoncer, sur demande de Metaltech, à l’exercice de tout droit moral qu’il peut faire valoir sur toute œuvre susceptible de droit d’auteur et propriété exclusive de Metaltech en vertu du paragraphe précédent.
Modification des termes et conditions
Metaltech se réserve le droit de faire des changements au termes et conditions. Dans un tel cas, aucune responsabilité ne pourra lui être imputée.
Limite de responsabilité
1. Metaltech n’assume aucune responsabilité quant à la défaillance de tout site web utilisé aux fins de l’Application, ni pour aucun problème ou défaillance technique de tout réseau ou ligne téléphonique, système informatique en ligne, serveur, fournisseur d’accès, équipement d’information, logiciel, échec de tout courriel ou transmission à être reçus dû à des problèmes techniques ou autres, de congestion sur le réseaux Internet ou sur tout site web, ou toute combinaison de ces raisons, y compris les dommages causés à l’équipement informatique du client ou de toute autre personne, pouvant découler de l’Application.
2. En soumettant son Application, le client renonce à tout droit de demander une injonction ou une réparation équitable ou à réclamer des dommages-intérêts punitifs, accessoires ou autres ou des honoraires d’avocat.
3. Le client dégage irrévocablement Metaltech de toute responsabilité quant à tout dommage ou perte pouvant découler de l’Application.
Représentations et garanties du participant
1. En soumettant son Application, le client représente et garantie que toutes les informations soumises sont vraies, valables et complètes au meilleur de sa connaissance, qu’il a les droits et l’autorité de soumettre l’Application en son propre nom ou au nom d’une société ou d’une institution et que l’Application:
2. Résulte du travail propre au client ou est soumise avec l’autorisation requise;
3. Ne contient aucune information confidentielle ou marque de commerce appartenant à une tierce partie;
4. Ne viole aucun droit de propriété intellectuelle d’une personne ou d’une entité, incluant les brevets, les dessins industriels, les droits d’auteur, les marques de commerce, le droit à la vie privée, à la publicité ou toute autre propriété intellectuelle ou autres droits moraux de toute personne ou entité;
5. Ne viole aucune loi ou règlementation;
6. Ne viole aucune obligation envers une tierce partie.
Lois applicables et règlements des différends
Tout différend quant à l’Application et aux présents termes et conditions est régi par les lois de la province du Québec et est soumis à la juridiction de Montréal.
Dispositions diverses
1. Le client accepte les présents termes et conditions et toutes les dispositions de ceux-ci.
2. Le présent accord constitue l’intégralité de l’accord et en cas de discordance entre ces termes et conditions et tout autre document, les termes et conditions seront appliqués en primauté sur toute autre entente ou document.

Terms and conditions

Metaltech-Omega Inc. (hereinafter “Metaltech”) is attentive to its customers’ needs and welcomes them to give innovation’s ideas, either improvement or new product’s design, by filling in an online form (hereinafter the “Application”.

By submitting her/his Application, the customer accepts the following terms and conditions:

Use of confidential information
1. The customer understands and accepts that her/his name and contact information (hereinafter “Confidential Information”) will be collected at the time of filing her/his Application.
2. Metaltech may use and transmit Confidential Information and other information transmitted in the Application:
  1. to its affiliates;
  2. to communicate with the customer;
  3. to contact the customer by email for promotional purposes;
  4. to contact the customer for any other business purpose.
3. Metaltech will not otherwise disclose the contact information in the Application.
Intellectual property
1. The customer agrees and accepts that the term “Intellectual Property” refers to any right recognized or granted, or may be granted in the future under intellectual property laws, other similar laws or any principle of law civil or common law currently or in the future around the world, including, but without limiting the generality of the above: trademarks, inventions, patented or not, trade secrets and know-how, industrial designs, discoveries, inventions, improvements, know-how, formulas, processes, plans or any work benefiting from the application of the laws described in this paragraph.
2. The customer acknowledges, accepts and declares that all Intellectual Property transmitted in the Application will remain Metaltech’s absolute and exclusive property.
3. The customer irrevocably cedes to Metaltech and agrees, during and after the duration of these cases, to transfer to Metaltech, without additional consideration, all intellectual property and any information relating to these rights, securities and interests, and to sign any document and to take any action necessary to give effect to this clause, and to defend and protect Metaltech’s rights, titles and interests in this regard.
4. The customer renounces and agrees to waive, at Metaltech’s request, the exercise of any moral rights that he may assert over any work that is copyrighted and exclusively owned by Metaltech under the previous paragraph.
Modification of the terms and conditions
Metaltech reserves the right to make changes to the terms and conditions. In such a case, no liability can be attributed to it.
Liability limit
1. Metaltech assumes no responsibility for the failure of any website used for the purposes of the Application, nor for any problems or technical failures of any network or telephone line, online computer system, server, ISP, information equipment, software, failure of any email or transmission to be received due to technical or other problems, congestion on the Internet or any website, or any combination of these reasons, including damage to the customer’s computer equipment or any other person, which may result from the Application.
2. By submitting the Application, the customer waives any right to seek a fair injunction or remedy or to seek punitive, incidental or other damages or legal fees.
3. The customer irrevocably absolves Metaltech of any liability for any damage or loss that may result from the Application
Participant’s representations and guarantees
1. In submitting its Application, the customer represents and guarantees that all the information submitted is true, valid and complete to the best of his/her knowledge, that he/she has the rights and authority to submit the Application in his/her own name or in the name of a company or institution and that the Application:
2. Results of the customer’s own work or is submitted with the required authorization;
3. Does not contain any confidential information or trademarks belonging to a third party;
4. Does not abuse any intellectual property rights of an individual or entity, including patents, industrial designs, copyrights, trademarks, privacy, advertising or any other intellectual or other property moral rights of any person or entity;
5. Does not violate any laws or regulations;
6. Does not violate any obligation to a third party.
Applicable laws and regulations of conflict
Any dispute regarding the Application and these terms and conditions is governed by the laws of the province of Quebec and is subject to the jurisdiction of Montreal.
Various provisions
1. The customer accepts these terms and conditions and all the provisions of it.
2. This agreement is the entire agreement and in the event of a discrepancy between these terms and conditions and any other document, the terms and conditions will take precedence over any other agreement or document.
